Terms of Service

1. Who you are contracting with

The Service is provided by Lumis OS LLC. If you are using the Service on behalf of an organisation, you confirm you have authority to bind that organisation to these Terms. You must be at least 18 years old, or the age of majority in your jurisdiction.

2. The Service

Lumis OS is an AI-assisted business operations platform — including CRM, projects, mission-control workflows, and AI executive assistants. We may add, change, or remove features at any time. We do not warrant that the Service will be uninterrupted, error-free, or available at any specific time.

3. Your account

You are responsible for keeping your credentials confidential and for all activity under your account. You must provide accurate information and keep it up to date. Notify us promptly at team@lumisos.ai if you suspect unauthorised access.

4. Acceptable use

You must not:

• use the Service for any unlawful, fraudulent, or harmful purpose;
• send spam, phishing, or unsolicited bulk communications;
• infringe the intellectual-property, privacy, or other rights of any person;
• upload malware, attempt to gain unauthorised access, probe, scan, or otherwise interfere with the security or integrity of the Service;
• scrape, mirror, or otherwise extract the Service or its content outside our documented APIs;
• resell, sublicense, or redistribute the Service without our written consent;
• reverse engineer, decompile, or circumvent the Service's technical limits.

5. AI features

The Service includes generative-AI features ("AI Output"). You agree that:

• You will not use AI features to generate illegal content, deepfakes intended to deceive, hate speech, harassment, malware, or content that violates a third party's rights.
• You are solely responsible for the prompts you submit, your use of AI Output, and verifying its accuracy before relying on it.
• You must have all necessary rights and permissions for the input content you provide.
• AI Output may be inaccurate, incomplete, or biased. It is not a substitute for professional legal, financial, medical, or other regulated advice. Do not rely on it for any decision that requires professional oversight.
• We may filter, refuse, or remove AI Output, and may suspend accounts that violate this section. Rights-holders may submit takedown requests to team@lumisos.ai; repeated infringement may result in termination.

5a. Third-party connected accounts (Google, Microsoft)

If you connect a Google or Microsoft account to use calendar-based features, your use of those features is also subject to the applicable provider's terms — including the Google Terms of Service and the Google API Services User Data Policy (including its Limited Use requirements). You may disconnect these accounts at any time from within the Service or from the provider's account settings.

6. Your content

You retain ownership of the content you submit to the Service ("Your Content"). You grant us a limited, worldwide, non-exclusive licence to host, process, transmit, and display Your Content solely as needed to operate and improve the Service for you. You represent that you have all rights necessary to grant this licence.

7. Our intellectual property

The Service, its software, branding, and documentation are owned by Lumis OS LLC and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with your plan and these Terms. All other rights are reserved.

8. Payments, subscriptions, and refunds

Payments for the Service are processed by Stripe, Inc. on our behalf. Stripe handles card processing, billing, currency conversion, and applicable taxes; for transactions where Stripe acts as merchant of record, Stripe's terms additionally govern the payment relationship. Our own refund policy (a 30-day money-back guarantee) is set out on our Refund Policy page.

9. Suspension and termination

We may suspend or terminate your access to the Service if you materially breach these Terms, if your account is not paid up, if your activity poses a security or fraud risk, or if you repeatedly or seriously violate our policies. You may stop using the Service at any time. On termination, you may export your data for a reasonable period before it is deleted.

10. Warranty disclaimer

Except as expressly stated, the Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of liability

To the fullest extent permitted by law, our aggregate liability arising out of or relating to the Service is limited to the fees you paid us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, special, or exemplary damages, including loss of profits, revenue, data, or goodwill. Nothing in these Terms excludes liability that cannot be excluded by law (including fraud, death, or personal injury caused by negligence).

12. Indemnity

You agree to indemnify and hold us harmless from any claim, loss, or expense (including reasonable legal fees) arising from Your Content, your use of the Service in violation of these Terms, or your violation of any law or third-party right.

13. Changes to these Terms

We may update these Terms from time to time. If a change is material, we will give reasonable notice (for example by email or in-product banner). Continued use of the Service after the effective date constitutes acceptance.

14. Governing law and disputes

These Terms are governed by the laws of Michigan, USA, without regard to conflict-of-laws principles. The courts of Michigan, USA have exclusive jurisdiction over any dispute, except where applicable consumer-protection laws give you the right to bring proceedings in your country of residence.

15. Miscellaneous

You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets. If any provision is held unenforceable, the remainder will continue in effect. Our failure to enforce any right is not a waiver. Neither party is liable for delays caused by events beyond reasonable control (force majeure).
